Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the website at sphr.world and any SPHR account we provision for you (together, the “Service”), provided by SPHR LLC (“SPHR”, “we”, “us”). By using the Service or requesting an SPHR account, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
The Service is intended for professionals aged 18 or older. By using it you represent that you meet this requirement and that any information you provide is accurate and your own.
2. Accounts & onboarding
Access to an SPHR account is by invitation: you need a valid signup code shared by
an SPHR member. When you submit the join form with a valid code, we create a Microsoft 365 account
for you on the sphr.world domain and email you onboarding steps, including a
short-lived, time-limited credential to set your own password and multi-factor authentication.
You are responsible for:
- keeping your account credentials and MFA secure and confidential;
- all activity that occurs under your account;
- notifying us promptly at hello@sphr.world of any unauthorized use.
Signup codes are limited in number of uses and time, and are for the intended recipient only. We may decline, suspend, or off-board an account at our discretion, including for breach of these Terms.
3. Acceptable use
You agree not to:
- use the Service unlawfully or in violation of any applicable regulation;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- probe, scan, or test the vulnerability of the Service without our written authorization;
- interfere with or disrupt the Service, including spam, brute-force, or abuse of the join form;
- misrepresent your identity or use a signup code you were not given;
- use the Service or any SPHR account to send unsolicited or malicious communications.
4. Intellectual property
The Service and its content (excluding your own data and third-party marks) are owned by SPHR or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. All other rights are reserved. Third-party names and logos are the property of their respective owners.
5. Third-party services
The Service relies on third parties (including Microsoft, Cloudflare, Google, and Telegram). Your use of an SPHR Microsoft 365 account is also subject to Microsoft’s applicable terms. We are not responsible for third-party services, and their availability is not guaranteed.
6. Privacy
Our handling of personal data is described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
7. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
8. Limitation of liability
To the maximum extent permitted by law, SPHR and its members will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Indemnification
You agree to indemnify and hold harmless SPHR and its members from any claims, damages, or expenses arising from your misuse of the Service or breach of these Terms.
10. Termination
You may stop using the Service at any time and request deletion of your account (privacy@sphr.world). We may suspend or terminate access, including deleting an SPHR account, if you breach these Terms or where reasonably necessary to protect the Service. Provisions that by their nature should survive termination will survive.
11. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above, and continued use of the Service after changes take effect constitutes acceptance.
12. Governing law & disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The courts located in Wyoming will have jurisdiction over any dispute, except where mandatory consumer-protection laws of your country of residence provide otherwise. Nothing here removes statutory rights that cannot be waived.
